Introduction
These terms of service govern the provision of services by 4steps2win OÜ (registered in Estonia) to clients. These terms apply to all services offered by 4steps2win, including sales consulting, corporate training workshops, and AI sales agents.

Sales Consulting
Strategic advisory, deal coaching, and methodology implementation services tailored to your sales organization.
Corporate Training Workshops
Group training sessions facilitated by certified trainers, designed to embed the 4steps2win methodology across your team.
AI Sales Agents
Custom-built AI agents trained on your data and the 4steps2win methodology to automate and accelerate your sales process.
Engagement and Agreements
Services are provided under individual Statements of Work (SOW) or service agreements negotiated between 4steps2win and the client. These terms of service apply in addition to any SOW or proposal. In the event of any conflict between these terms and a SOW, the SOW takes precedence.
Fees and Payment
- Fees are as agreed in the applicable SOW or proposal
- Invoices are payable within 30 days unless otherwise agreed in writing
- All fees are exclusive of applicable taxes (VAT)
- Late payment fees of 1.5% per month (or the maximum permitted by law) apply to overdue invoices
Cancellation and Refund Policy
a) Sales Consulting
- Cancellation with 14 or more days notice: full refund of unused prepaid fees
- Cancellation with 7-14 days notice: 50% refund of unused prepaid fees
- Cancellation with less than 7 days notice: no refund for the current billing period
- All work completed prior to cancellation is non-refundable
b) Corporate Training Workshops
- Cancellation 30 or more days before the scheduled workshop: full refund minus 10% administration fee
- Cancellation 14-30 days before: 50% refund
- Cancellation less than 14 days before: no refund (rescheduling may be available)
- Participant substitutions are permitted at any time at no additional charge
- 4steps2win reserves the right to reschedule workshops due to unforeseen circumstances. A full refund will be offered if the new date is unsuitable for the client
c) AI Sales Agents
- Discovery/scoping phase: if the client cancels before the build phase begins, a refund will be issued minus hours worked at the agreed hourly rate
- Build phase: fees for completed milestones are non-refundable
- Monthly subscription: cancel with 30 days written notice; no refund is issued for the current period
- All custom AI agent work product delivered to the date of cancellation remains the client's property
Intellectual Property
- The 4steps2win methodology, frameworks, training materials, and platform are the exclusive intellectual property of 4steps2win OÜ
- Clients receive a non-exclusive, non-transferable license to use materials delivered as part of the services for internal business purposes only
- AI Sales Agents: the client retains ownership of their data and custom configurations created during the engagement. The underlying AI platform, methodology, and codebase remain the property of 4steps2win OÜ
- Neither party may use the other's trademarks, logos, or brand names without prior written permission
Confidentiality
Both parties agree to maintain the confidentiality of sensitive information shared during the engagement. This obligation survives termination for three years. Standard exceptions apply: information that is publicly available, independently developed, or legally required to be disclosed.
Data Processing
- For clients using AI Sales Agent services, a separate Data Processing Agreement (DPA) will be executed in accordance with applicable data protection regulations
- Client data used for AI agent training and customization is not shared with other clients
- Reference the Privacy Policy for information on how website-related data is processed and protected
Limitation of Liability
- The maximum aggregate liability of either party shall not exceed the total fees paid in the 12 months preceding the claim
- Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, revenue, or data
- 4steps2win makes no guarantee that services will achieve specific sales outcomes, revenue increases, or pipeline targets
- AI Sales Agents are provided "as is" with respect to AI accuracy and decision-making. AI agents are a tool to assist human judgment, not a substitute for it
Warranties
- 4steps2win warrants that services will be performed with reasonable skill and care by qualified professionals
- 4steps2win makes no warranty that services will achieve specific results or outcomes
- The client is responsible for implementing recommendations and evaluating whether recommendations are appropriate for their organization
Termination
- Either party may terminate for material breach of these terms with 30 days written notice to cure the breach
- Either party may terminate for convenience with 30 days written notice (subject to applicable cancellation and refund terms)
- The following clauses survive termination: confidentiality, intellectual property, limitation of liability, and payment obligations
Force Majeure
Neither party is liable for failure to perform its obligations due to causes beyond its reasonable control, including acts of God, natural disasters, war, pandemic, or government action. The affected party must notify the other within 15 days of the force majeure event.
Governing Law
These terms are governed by the laws of the Republic of Estonia. Both parties consent to the exclusive jurisdiction of the courts of Tallinn for any dispute arising from these terms.
Entire Agreement and Severability
These terms, together with any applicable SOW or proposal, constitute the entire agreement between the parties regarding the services. If any provision of these terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, and the remaining provisions will remain in effect.
